1. Acceptance of Terms
By using our platform, purchasing any service, activating any bot, or continuing to access our services, you confirm that you have read, understood, and agreed to these Terms and Conditions. If you do not agree, you must not access, purchase, install, connect, or use any of our services.
2. Services Provided
We provide educational training, mentorship programs, forex market education, trading tools, trading bots, copytrading tools, affiliate opportunities, and related digital services. All services are provided strictly for educational, informational, and software-use purposes only.
3. Not an Investment Company or Financial Adviser
Optimum Tick Experts Limited is not a bank, broker, investment company, fund manager, portfolio manager, financial adviser, or investment adviser. We do not accept client funds for investment, pool client money, manage client portfolios, guarantee returns, or provide personalized investment advice. Nothing provided by us should be treated as financial, investment, legal, tax, or accounting advice.
4. No Managed Account or Trading for Clients
You understand and agree that we do not trade for clients and we do not operate a managed account service. Where our bot, tool, or automation is connected to your trading account, it is a software tool that you choose to activate, authorize, fund, configure, and monitor. You remain fully responsible for your trading account and all trading outcomes.
5. Risk Acknowledgment
Forex, crypto, CFDs, indices, commodities, derivatives, and other financial markets involve substantial risk of loss. Leveraged trading can result in partial or total loss of your account balance. By using our services, you acknowledge that you fully understand these risks and accept that all trading decisions, actions, and outcomes are made at your own risk.
6. Client Responsibility for Trading Outcomes
You accept full and total responsibility for every trading decision, broker choice, account funding decision, lot size, leverage, risk setting, margin level, open trade, closed trade, profit, loss, drawdown, liquidation, tax obligation, and legal obligation connected with your trading account. We make no guarantee of profit, account growth, capital preservation, or any specific result.
7. No Manual Trading or Third-Party Bot on the Same Account
If our bot is connected to or trading on your account, you agree that you will not place, close, hedge, modify, or interfere with trades manually on that account unless we have given written approval. You also agree that you will not run another bot, expert adviser, copytrading service, signal copier, account manager, third-party trader, or any other automated or manual trading system on the same account while our bot is active.
Manual trading or using another bot on the same account can conflict with our bot’s risk controls, increase margin exposure, create duplicate or opposing positions, trigger margin calls, and lead to partial or total loss of the account. If you breach this rule, all losses, damages, failed trades, liquidations, margin calls, and related outcomes will be your sole responsibility. We will not be liable, and we may immediately suspend the bot, revoke your license, terminate your access, or stop providing support without refund.
8. Broker, Platform, VPS, and Technical Risks
Our tools may depend on third-party services including brokers, exchanges, pricing feeds, liquidity providers, internet providers, VPS providers, payment processors, MetaTrader or other trading platforms, and device hardware. We are not liable for losses caused by slippage, spread changes, requotes, market gaps, execution delays, broker errors, platform downtime, internet failure, VPS failure, power failure, software bugs, data-feed errors, rejected orders, or any third-party service issue.
9. User Account Control and Monitoring
You remain the owner and controller of your trading account at all times. You are responsible for monitoring your account, reviewing all settings before activation, maintaining sufficient margin, checking broker terms, and deciding whether to continue or stop using any bot or tool. If you do not understand the risks, settings, leverage, or possible outcomes, you must not use the bot.
10. Payment and Refund Policy
All payments made for training, bots, subscriptions, licenses, setup, support, or digital services are strictly non-refundable once access, delivery, activation, setup, or license issuance has started, except where a refund is required by applicable law or expressly approved by us in writing. No refunds, chargebacks, or compensation shall be granted for trading losses, dissatisfaction, user error, broker issues, market conditions, or breach of these Terms.
11. License Revocation and Service Termination
We reserve the right to suspend, restrict, revoke, or permanently terminate your license, bot access, training access, affiliate access, or support access at any time if we believe you have breached these Terms, manually interfered with bot trades, used another bot on the same account, shared access, abused support, made false claims, committed fraud, breached payment terms, or violated any law. Where access is suspended or terminated due to your breach, no refund, credit, or compensation will be due.
12. Non-Disparagement & Conduct
Any form of abuse, threat, harassment, insult, defamation, or use of foul language against our brand, management, staff, partners, or affiliates may result in immediate suspension or termination of your access to our services without refund. We reserve the right to pursue legal remedies against false, defamatory, malicious, or harmful conduct that damages our reputation.
13. User Obligations
You agree to use our platform lawfully and ethically, maintain confidentiality of login credentials, protect your account details, and not engage in unauthorized distribution, duplication, resale, sublicensing, reverse-engineering, modification, or sharing of any part of our software, materials, strategies, trading bots, or tools. Any violation may result in immediate termination and possible legal action.
14. Affiliate Program Terms
14.1 Enrollment: Participation in the OTE Academy Affiliate Program is open to registered users who refer new students through unique referral links. Approval is at the sole discretion of Optimum Tick Experts Limited, and we reserve the right to accept or reject any application without obligation to provide reasons.
14.2 Commission Structure: Affiliates earn commissions based on successful referrals, in accordance with our current commission plan. We reserve the right to change, suspend, or modify the commission rate, structure, payout timing, or payment terms at any time without prior notice.
14.3 Fraudulent or Abusive Activity: Creating multiple accounts, self-referrals, using fake identities, automated systems, misleading advertising, income guarantees, or any deceptive method to manipulate referral outcomes is strictly prohibited. If such behavior is detected, we may terminate your participation and withhold unpaid commissions or bonuses without liability.
14.4 Payout Terms: Commissions will only be paid after successful verification of referred clients and completion of qualifying transactions. Payments are subject to review, and we may delay, deny, or cancel payouts if fraud, refund requests, chargebacks, or irregularities are suspected.
14.5 No Guarantee of Income: Participation in the affiliate program does not guarantee earnings. Results vary based on individual effort and genuine referrals. We are not responsible for the success or failure of your promotional efforts.
14.6 Modification or Discontinuation: We may modify, suspend, or terminate the affiliate program at any time without liability. Continued participation following any changes constitutes acceptance of the updated terms.
15. Intellectual Property Rights
All materials, software, trading algorithms, indicators, bots, strategies, videos, content, designs, trademarks, brand assets, source code, and intellectual property are owned exclusively by Optimum Tick Experts Limited or its licensors. You may not copy, share, sell, lease, modify, reproduce, reverse-engineer, or distribute any content without our prior written consent.
16. Data Collection and Privacy
We may collect limited personal data including your name, email, phone number, payment confirmation, license details, training records, device details, and support messages for communication, service delivery, account access, security, compliance, and support. We do not collect or store bank card details or broker withdrawal credentials unless expressly stated in a separate written agreement. Your information is managed in accordance with our Privacy Policy.
17. Results, Testimonials, and No Guarantee
Any screenshots, testimonials, backtests, case studies, examples, or historical results shown by us are for illustrative purposes only. Past performance does not guarantee future results. You must not rely on any result, screenshot, or testimonial as a promise that you will achieve similar profits or avoid losses.
18. Limitation of Liability
To the maximum extent permitted by law, Optimum Tick Experts Limited, its directors, employees, contractors, partners, licensors, and affiliates shall not be held liable for any trading loss, account drawdown, account liquidation, lost profit, lost opportunity, damage, injury, claim, business interruption, reputational loss, indirect loss, incidental loss, consequential loss, or any other loss arising from training, bot usage, copytrading, affiliate activities, broker issues, platform issues, market conditions, or reliance on our services.
19. Waiver of Claims and Indemnity
By using any of our services, you agree to indemnify and hold Optimum Tick Experts Limited harmless from all claims, losses, liabilities, costs, penalties, demands, or expenses arising from your trading activity, breach of these Terms, manual interference with bot trades, use of another bot or trader on the same account, misuse of our services, violation of law, infringement of third-party rights, or dispute with your broker or any third-party provider.
20. Compliance, Eligibility, and Taxes
You confirm that you are at least 18 years old, have legal capacity to agree to these Terms, and are legally allowed to access trading education, trading tools, bots, and market-related services in your country or region. You are solely responsible for complying with all laws, broker rules, tax obligations, reporting obligations, and platform terms that apply to you.
21. Arbitration and Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall first be addressed in writing so both parties can attempt to resolve it in good faith. If unresolved, the dispute shall be resolved by confidential arbitration in Lagos, Nigeria, under the applicable arbitration laws in force in Nigeria. The arbitration decision shall be final and binding, subject only to rights that cannot be excluded by law.
22. Binding Acknowledgment
By proceeding with payment, registration, installation, activation, or continued use of our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions in full. You also agree that failure to review this document does not exempt you from its applicability or enforcement.
23. Amendments
We reserve the right to amend, modify, or update these Terms and Conditions at any time. Updated versions will be effective immediately upon posting on our website or otherwise being made available to you. It is your responsibility to review them periodically. Continued use of our services after any update means you accept the updated Terms.
24. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. They are intended to have international effect, and users outside Nigeria agree to be bound under the same terms with Lagos, Nigeria as the agreed venue for dispute resolution, to the fullest extent permitted by law.
